Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you or the business you represent ("you," "your," the "Customer") and Responseify, operated by Responseify("Responseify," "we," "us," "our"), governing your access to and use of the Responseify platform, website, APIs, and related services (collectively, the "Services").

By creating an account, clicking "I agree," or using the Services, you confirm that you have read, understood, and accept these Terms and our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you do not agree, do not use the Services.

You must be at least 18 years old and legally capable of entering into a contract under the Indian Contract Act, 1872. If you accept these Terms on behalf of a business, you represent that you are authorised to bind that business.

2. What Responseify Provides

Responseify is a customer-relationship platform that helps businesses manage conversations over WhatsApp and other channels — a shared team inbox, broadcasts, automations, chatbot flows, a sales pipeline, and analytics. Messaging is delivered through the WhatsApp Business Platform (Cloud API) operated by Meta. Responseify is an independent software provider and is not affiliated with, endorsed by, or acting on behalf of Meta or WhatsApp.

Your use of WhatsApp messaging is additionally subject to Meta's WhatsApp Business Terms and Messaging Policy. You are responsible for complying with them. Violations (including spam or prohibited content) may result in your WhatsApp number being rate-limited, flagged, or banned by Meta — an action outside Responseify's control.

3. Your Account

  • You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
  • You are responsible for all activity that occurs under your account and under any team-member logins you create.
  • You must notify us promptly at support@responseify.in of any unauthorised use of your account.
  • You are responsible for the conduct of the team members you invite and for the contact data you upload.

4. Plans, Fees & Billing

We offer a free plan and paid subscription plans, described on our pricing page. Paid plans are billed in advance for the billing cycle you select (monthly, quarterly, or annual). All fees are stated in Indian Rupees (₹) and are exclusive of applicable taxes (including GST), which will be added where required.

Software fees vs. messaging fees.Your plan fee covers the Responseify software. Separately, Meta charges a per-message fee for certain template messages you send, based on Meta's category rates. These per-message charges are billed from your prepaid wallet balanceat the rates shown in the app. Conversations your customers start are handled per Meta's pricing. Wallet top-ups are prepaid and are consumed as you send messages; unused wallet balance is handled per our Refund & Cancellation Policy.

Add-ons. Optional add-ons (such as additional agent seats, chatbot flows, or AI auto-reply) are billed as described at purchase. Where an add-on is offered free for a promotional period, you will not be charged unless you explicitly opt in to continue after the promotional period ends.

Payments.Payments are processed by third-party payment gateways (such as Razorpay and PhonePe). We do not store your full card or bank details. Your use of a gateway is subject to that gateway's own terms.

Renewals and price changes. Subscriptions renew automatically for the same cycle unless cancelled before the renewal date. We may change plan prices or features on prospective notice; changes do not affect the cycle you have already paid for.

Non-payment. If a payment fails or your wallet is depleted, we may suspend message sending and, after a grace period, downgrade or suspend paid features. We follow a reminder (dunning) process before suspension.

5. Acceptable Use

You agree that you will not, and will not permit anyone using your account to:

  • Send spam, unsolicited bulk messages, or messages to recipients who have not opted in, or otherwise violate Meta's WhatsApp Messaging Policy.
  • Send content that is unlawful, fraudulent, misleading, defamatory, obscene, or that infringes intellectual-property or privacy rights.
  • Use the Services for phishing, scams, the sale of prohibited goods, or any activity prohibited under Indian law.
  • Upload or message contacts without a lawful basis and the consent required under the Digital Personal Data Protection Act, 2023.
  • Attempt to breach, probe, or circumvent the security of the Services, or access data belonging to other customers.
  • Reverse-engineer, resell, or sublicense the Services except as expressly permitted, or exceed the limits of your plan by technical means.
  • Use the Services to build a competing product, or scrape the platform.

You are solely responsible for the content of the messages you send and for obtaining any consents required from your contacts. We may remove content or suspend accounts that we reasonably believe violate this section.

6. Your Data and Customer Content

As between you and Responseify, you own the contacts, messages, and other content you bring to or generate on the platform ("Customer Content"). You grant us a limited licence to host, process, and transmit Customer Content solely to provide and improve the Services, as detailed in our Privacy Policy.

With respect to the personal data of your contacts and end users, you act as the Data Fiduciary and Responseify acts as a Data Processor. You are responsible for having a lawful basis and any required consent for processing that data.

You may export your data and request deletion of your account. On termination, we retain and delete data in line with our Privacy Policy and applicable law (including tax records we are legally required to keep).

7. Intellectual Property

The Services, including all software, design, and the Responseify name and marks, are owned by Responseify and its licensors and are protected by law. We grant you a non-exclusive, non-transferable, revocable right to use the Services during your subscription, subject to these Terms. All rights not expressly granted are reserved.

8. Third-Party Services

The Services integrate with third parties including Meta (WhatsApp), payment gateways, and infrastructure and AI providers. Your use of those integrations may be subject to the third party's own terms, and their availability is outside our control. We are not liable for acts, omissions, outages, or policy decisions of third parties, including Meta's suspension or rate-limiting of a WhatsApp number.

9. Service Availability

We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify or discontinue features. Where a specific service level applies to your plan, it will be stated in the plan or a separate agreement.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements or that message delivery, which depends on Meta and mobile networks, will always succeed.

11. Limitation of Liability

To the maximum extent permitted by law, Responseify and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services.

Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the total fees you actually paid to Responseify for the Services in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Responseify from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Services in violation of these Terms or applicable law, or your violation of any third-party rights or of Meta's policies.

13. Suspension & Termination

You may stop using the Services and cancel your subscription at any time from your account settings, subject to our Refund & Cancellation Policy.

We may suspend or terminate your access, with or without notice, if you materially breach these Terms, fail to pay, use the Services unlawfully, or create risk or legal exposure for us or other customers. Where reasonable, we will give you notice and an opportunity to cure. On termination, your right to use the Services ceases; sections that by their nature should survive (including fees owed, IP, disclaimers, liability, and governing law) will survive.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the app or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of India. Subject to any right you have under applicable consumer-protection law, the courts at our registered place of business in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services. The parties will first attempt in good faith to resolve any dispute informally by contacting support@responseify.in.
